from Reed & Barton. This warranty shall extend solely to you as the original
purchaser of the Products and is not transferable or assignable by you to any other
person. Reed & Barton's sole obligation and your sole remedy under the foregoing
warranty shall be for Reed & Barton to repair or replace the Products as provided
below. If the Products qualify for warranty service under the limited warranty terms
set forth herein, you may return the Products to Reed & Barton for repair or
replacement by Reed & Barton pursuant to the terms of Reed & Barton Return
Policy.
EXCEPT FOR THE EXPRESS LIMITED WARRANTY SET FORTH ABOVE, REED & BARTON MAKES

REED & BARTON SHALL NOT BE HELD RESPONSIBLE FOR THE PERFORMANCE OF ANY PRODUCTS
NOR FOR ANY LIABILITY TO ANY PARTY ARISING OUT OF USE OF THE PRODUCTS.
IN NO EVENT SHALL REED & BARTON BE LIABLE TO YOU FOR ANY LOSS OF PROSPECTIVE
PROFITS OR INDIRECT OR CONSEQUENTIAL DAMAGES EVEN IF Reed & Barton IS ADVISED
OF THE POSSIBILITY OF SUCH DAMAGE.
Please note that some jurisdictions may not allow the exclusion of implied warranties
or limitation of incidental or consequential damages, so some of the above exclusions
may not apply to you. Check your local laws for any restrictions or limitations
regarding the exclusion of implied warranties or limitation of incidental or consequential

The limited warranty set forth above with respect to the Products shall be void
to the extent that defects or failures of the Products are caused by (i) your negligence,
misuse, or accident; (ii) any alteration or repair by you not approved in writing
by Reed & Barton; or (iii) any operation outside of environmental and/or technical
specifications for the Products that may be provided by Reed & Barton.
Reed & Barton shall not be liable for any damages to your computer equipment
or other property on account of your access to, use of, or browsing in the Site
or your downloading of any materials, data, text, images, video, or audio from the
Site, whether through infection by a virus or otherwise.
Indemnification
You agreed to defend, indemnify, and hold Reed & Barton, its officers, directors,
shareholders, employees and agents harmless from and against any and all claims,
damages, costs, and expenses, including attorney's fees, arising from or related
to your use of the Site.
Choice of Law and Jurisdiction
Unless otherwise specified, this Site and the Contents thereof are displayed solely
for the purpose of promoting Reed & Barton products and services available in
the United States. This Site is controlled and operated by Reed & Barton from
its offices in Taunton, Massachusetts.
This Agreement shall be construed in accordance with the laws of the Commonwealth
of Massachusetts, without regard to any conflict of law provisions. Any dispute
arising under this Agreement shall be resolved exclusively by the state or federal
courts of the Commonwealth of Massachusetts. You hereby expressly consent to the
personal jurisdiction of, and waive any objection to venue in, the state or federal
courts of the Commonwealth of Massachusetts for any lawsuit filed there arising
from or related to this Agreement.
Termination
This Agreement is effective unless and until terminated by either you or Reed &
Barton. You may terminate this Agreement at any time. Reed & Barton also may
terminate this Agreement at any time and may do so immediately without notice, and
accordingly deny you access to the Site, if in Reed & Barton's sole discretion
you fail to comply with any term or provision of this Agreement or Reed & Barton's
policies.
Upon termination of this Agreement by either you or Reed & Barton, you must
promptly destroy all materials downloaded or otherwise obtained from this Site,
as well as all copies of such materials, whether made under the terms of this Agreement
or otherwise.
Modifications
Reed & Barton may from time to time change the rules that govern your use of
the Site. Reed & Barton will post these changes here, in the Terms of Use. Your
use of the Site following any such change constitutes your agreement to follow and
be bound by the rules as changed. Reed & Barton may change, move, or delete
portions of the Site, or may add to the Site from time to time.
Assignment
In the event that Reed & Barton wishes to assign or transfer your personal information
and any of its rights hereunder to a third party, you agree that Reed & Barton
may do so, on the condition that such third party agree to abide by its then current
privacy and security policies.
